Terms and Conditions

1. Scope

1.1 These general terms and conditions (GTC) govern the use of the software licenses and associated services (hereinafter “services”) of optolux lichttechnik gmbh (hereinafter “provider”).

1.2 The services include the locally installable desktop software “optolux” in the Starter, Pro and Top subscription plans for automating professional macro photography (hereinafter “Software”).

1.3 These terms and conditions apply to all customers (hereinafter “users”) who use the provider's services.

1.4 Deviating or additional terms and conditions of the user are not part of the contract, unless the provider has expressly agreed to them in writing.

2. Contractual partner and merchant of record

2.1 The user contract for the subscription services is concluded between the user and optolux lichttechnik gmbh (CHE-477.453.752).

2.2 Paddle as Merchant of Record: Payment processing, invoicing and tax administration are carried out by Paddle (paddle.com), which acts as an international merchant of record. This means:

  • Paddle is the official seller and invoicer for the services
  • Paddle introduces value added tax (VAT) and other taxes
  • All payment transactions are processed via Paddle
  • Invoices are issued by Paddle on behalf of optolux lichttechnik gmbh

2.3 The user agrees that Paddle, as Merchant of Record, will process payments, manage subscriptions and invoicing.

2.4 For questions about payments, invoices and subscription management, the user can contact Paddle at paddle.com/support.

3. Subject matter of the contract

3.1 The provider provides the user with locally installable desktop software for macOS and Windows, which enables professional macro photography automation.

3.2 The software is installed and executed on the user's computer. It is used via the local application, not via a web browser.

3.3 License verification: To activate and regularly check the license, the software communicates with the optolux license server, Auth0 (authentication) and Paddle (subscription status). This requires an Internet connection. The actual use of the core software functions can also take place offline, provided that the license has been successfully verified beforehand.

3.4 With the active subscription, the user receives the right to install and use the software on up to two (2) devices at the same time.

4. Registration and user account

4.1 To use the services, the user must register and create a user account.

4.2 Authentication is carried out via Auth0. The user is responsible for the security of their password and login details.

4.3 When registering, the user undertakes to provide accurate information and to keep it up to date.

4.4 The user may not pass on their account to third parties or grant access to third parties.

4.5 The provider may block an account if there is a suspicion that the login details are being misused, the terms of use are violated or payment obligations are not being met.

5. Service description

5.1 The provider offers the following subscription plans:

5.2 The exact features of the individual plans can be viewed on the optolux.ch website.

5.3 The scope of services may change. The provider will inform the user of significant restrictions in good time.

6. Prices and terms of payment

6.1 All prices shown are in EUR (Euro) and include value added tax (VAT), unless otherwise stated.

6.2 The user can choose between monthly and annual billing periods.

6.3 Payment processing by Paddle: Payments are processed entirely by Paddle. The user authorizes Paddle to process the debit. Invoices are sent by Paddle.

6.4 Payment is made in advance for the respective billing period.

6.5 Should a payment fail, the provider has the right to block access to the software until the outstanding payment has been made.

7. Contract period and termination

7.1 The subscription starts with the first payment and is automatically renewed for another billing period (monthly or yearly) unless canceled.

7.2 The user can cancel his subscription at any time by managing his subscription via his customer account with Paddle or contacting the provider at info@optolux.ch .

7.3 The cancellation is effective at the end of the current billing period. There will be no refund of pro rata fees.

8. Right of withdrawal (money-back guarantee)

8.1 The user has the right to request a full refund within 14 days of purchase, without giving reasons.

8.2 To exercise this right, the user can submit a return form via their Paddle customer account or contact the provider at info@optolux.ch .

8.3 The refund will be processed by Paddle and transferred within 14 days.

8.4 This right of withdrawal only applies to first purchases.

9. Warranty and liability

9.1 The provider guarantees that the software is fundamentally functional. No warranty is given for specific results or error-free operation.

9.2 The provider's liability is limited to the subscription fees paid in the last 12 months.

9.3 The provider is not liable for indirect damage, loss of profit or lost savings.

9.4 The user is personally responsible for securing their data and projects.

10. Updates, Maintenance, and Availability

10.1 The provider regularly provides software updates, which may include bug fixes, security updates and new features. The user is informed about available updates within the software.

10.2 The provider strives to ensure high availability of the license server, but does not provide any guarantee. If the license server is temporarily unavailable, the software can continue to be used within an offline tolerance period.

10.3 The provider reserves the right to discontinue support for older operating system versions, provided that this is announced with a reasonable lead time.

11. Intellectual property and rights of use

11.1 All content of the software (code, design, documentation, graphics) is the property of the provider and is protected by copyright.

11.2 The user receives a personal, revocable, non-exclusive right to install and use the software on his own devices for the duration of the active subscription.

11.3 The user may not copy, distribute, reverse engineer, decompile, disassemble or offer the software as a service to third parties.

11.4 After termination of the subscription, the right of use expires. The user is required to uninstall the software from their devices.

11.5 Data that the user creates or processes with the software remains the full property of the user and is stored locally on the user's device.

12. Data Protection

12.1 Personal data is processed in accordance with the provider's privacy policy at optolux.ch/datenschutz.

12.2 The data will not be passed on to third parties without the user's consent, except to the extent necessary to provide the services (e.g. payment processing by Paddle, authentication via Auth0).

13. Amendments to the terms and conditions

13.1 The provider reserves the right to change these terms and conditions at any time. Changes will be notified to the user by email.

13.2 Changes come into force 30 days after notification, unless the user objects.

14. Final provisions

14.1 Applicable law: These terms and conditions are subject to Swiss laws, in particular the Code of Obligations (OR).

14.2 Jurisdiction: The exclusive place of jurisdiction for all disputes is the district court of the Canton of Bern, Switzerland.

14.3 Salvatory clause: Should any provision of these terms and conditions be ineffective, the rest of the terms and conditions remain valid.
